Welcome to The Solana Labs. These Terms of Use (“Terms”) govern your access to and use of the mobile applications, websites, and related services operated by The Solana Labs (“we”, “us”, “our”, or the “Company”), collectively referred to as the “Applications”.

By downloading, installing, accessing, or using any of our Applications, you agree to be bound by these Terms. If you do not agree, do not use the Applications.

These Terms apply to all Applications published by The Solana Labs unless an individual Application provides separate terms that supersede these.

1. Eligibility

  • You must be at least 13 years old to use the Applications. Some Applications may require a higher minimum age, and individual Applications may display a different rating on the Apple App Store or Google Play Store.
  • If you are between the ages of 13 and 17 (or the age of majority in your jurisdiction, whichever is higher), you may only use the Applications with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
  • By using the Applications, you represent that you meet these requirements.

2. Your Account

Some Applications allow you to create an account. If you do:

  • You are responsible for providing accurate and current information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at [email protected] if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. License to Use the Applications

Subject to your compliance with these Terms, The Solana Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Applications on devices you own or control, for your personal, non-commercial use.

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Applications.
  • Reverse engineer, decompile, or attempt to extract the source code of the Applications, except to the extent permitted by applicable law.
  • Use the Applications to build a competing product or service.
  • Remove, alter, or obscure any proprietary notices.
  • Circumvent any security or access controls.

4. User-Generated Content

Some Applications allow you to create, save, upload, or share content — including, without limitation, saved outfits, mood boards, images, text, captions, and other user submissions (“User Content”).

4.1 Ownership

You retain ownership of your User Content.

4.2 License You Grant to Us

By submitting User Content to or through an Application, you grant The Solana Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, display, and distribute that User Content solely for the purpose of operating, improving, and providing the Applications and their features.

4.3 Responsibility

You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that:

  • You own or have the necessary rights to your User Content.
  • Your User Content does not infringe the rights of any third party (including copyright, trademark, privacy, or publicity rights).
  • Your User Content complies with these Terms and applicable law.

4.4 Prohibited Content

You may not submit User Content that:

  • Is unlawful, obscene, defamatory, threatening, harassing, abusive, hateful, or otherwise objectionable.
  • Promotes violence, self-harm, or illegal activity.
  • Infringes any intellectual property right or other legal right of any third party.
  • Contains malware, viruses, or other malicious code.
  • Is sexually explicit, contains nudity, or sexualizes minors.

4.5 Removal

We reserve the right, but have no obligation, to review and remove User Content that violates these Terms or that we otherwise determine is inappropriate.

5. Third-Party Content and Brands

The Applications may reference, link to, display, or interact with content, games, services, products, or brands owned by third parties (for example, references to other games or online communities).

  • The Solana Labs is not affiliated with, endorsed by, or sponsored by any of those third parties unless explicitly stated in writing.
  • All trademarks, service marks, and product names mentioned in the Applications belong to their respective owners.
  • Our Applications are independently produced fan-made or community-oriented tools unless clearly identified otherwise.
  • We are not responsible for the content, availability, or practices of third-party websites or services.

6. Acceptable Use

You agree not to:

  • Use the Applications for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Harass, abuse, threaten, or harm other users.
  • Attempt to gain unauthorized access to the Applications, other users’ accounts, or related systems.
  • Interfere with or disrupt the Applications or servers.
  • Scrape, crawl, or mass-extract content without our written permission.
  • Use automated means (bots, scripts) to interact with the Applications in ways not permitted by us.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Use the Applications to send spam or unsolicited communications.

Violation of this section may result in immediate suspension or termination of your access.

7. Purchases and Subscriptions

Some Applications offer in-app purchases or subscriptions.

  • Billing. All purchases are processed through the platform on which the Application is distributed (such as Apple App Store or Google Play Store) and are subject to that platform’s billing and refund policies.
  • Subscriptions auto-renew unless cancelled before the end of the current billing period. You can manage or cancel subscriptions through your platform account settings.
  • Refunds are handled by the platform. We do not process refunds directly.
  • Price changes may occur with notice where required by law.
  • Free trials, if offered, convert to a paid subscription unless cancelled before the trial ends.

You are responsible for all applicable taxes and fees.

8. Intellectual Property

The Applications, including all content, features, functionality, and design, are owned by The Solana Labs, our licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

Except for the limited license in Section 3, nothing in these Terms grants you any right, title, or interest in the Applications.

9. Feedback

If you provide feedback, suggestions, or ideas about the Applications, you grant The Solana Labs a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

10. Termination

10.1 By You

You may stop using the Applications and delete any account at any time.

10.2 By Us

We may suspend, limit, or terminate your access to the Applications at any time, with or without notice, if:

  • You violate these Terms.
  • We are required to do so by law.
  • Continued provision is no longer commercially viable.
  • We reasonably believe your conduct causes harm or legal risk to the Company, other users, or third parties.

Upon termination, the licenses granted to you in Section 3 end immediately. Sections relating to intellectual property, User Content licenses already granted, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.

11. Disclaimers

THE APPLICATIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR COMPATIBILITY.

THE SOLANA LABS DOES NOT WARRANT THAT THE APPLICATIONS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION OBTAINED THROUGH THE APPLICATIONS IS ACCURATE OR RELIABLE.

CONTENT REFERENCED FROM THIRD-PARTY SOURCES, INCLUDING COMMUNITY WIKIS AND PUBLIC CATALOGS, IS PROVIDED WITHOUT WARRANTY OF ACCURACY. FEATURES THAT USE ARTIFICIAL INTELLIGENCE OR MACHINE LEARNING MAY PRODUCE INCORRECT OR UNEXPECTED RESULTS AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE SOLANA LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATIONS;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APPLICATIONS;
(c) ANY CONTENT OBTAINED FROM THE APPLICATIONS; AND
(d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE SOLANA LABS EXCEED THE GREATER OF (i) THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless The Solana Labs and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your use of the Applications;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Applications shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered under applicable rules in Florida, except that either party may seek injunctive relief in court for matters involving intellectual property or unauthorized access.

You and The Solana Labs agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Applications or by email (if we have one on file). The “Last Updated” date above will reflect the effective date of the most recent version.

Your continued use of the Applications after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any Application-specific terms, constitute the entire agreement between you and The Solana Labs regarding the Applications.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • No waiver. Failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Language. These Terms are drafted in English. Any translation is provided for convenience only.
  • Notices. Notices from us may be delivered in-app, by email, or by posting on our website.
